Franklin Myers, CEO and director of HF Sinclair, bought 10,000 DINO shares on Oct. 29 at a weighted average of $110.80. The fills ran from $110.72 to $110.80. A tight band.

The form hit EDGAR at 5:25 p.m. ET on the day of the trade. Same-day filing is as fast as the clock gets.

This is one buy by one executive on one day. The form does not say why he bought.

Attention is not buying.

The Other Side

Myers's $1.1 million is one purchase on one day, 10,000 shares against the 207,723 he held after it. Executives buy for reasons the form never lists: ownership targets, a bonus landing, a view on the stock. A same-day filing tells you the clock ran fast.

It doesn't tell you he was right. A CEO buy reads well in a headline and proves nothing about the next quarter.

Term of the Day

Accession number. The unique ID of an EDGAR filing, like a receipt number. Paste one into the search box on sec.gov, say 0001193125-26-438100 for the DINO form, and it takes you to the original document.
