Signal Check

Discretionary buy

The filing carries no pre-set trading plan (10b5-1) marker, so these are open-market purchases made at the holder's own choosing. That tells you the holder paid cash for more shares at $10.10 and $10.45; it does not tell you why, or what comes next.

What the filing shows

Both rows are coded P, which the SEC legend reads as an open-market purchase. Both are marked indirect: the footnotes say the shares sit in a fund, Equinox Partners, L.P., that Equinox Partners Investment Management advises.

Silvercrest Asset Management Group Class A common stock (SAMG) · Open-market purchase (P) · Equinox Partners Investment Management LLC, 10% owner (indirect, via fund)
DateSharesPriceValue
Oct. 27, 2026899$10.10$9,079.90
Oct. 29, 202632,499$10.45$339,614.55

After the Oct. 27 trade the fund held 834,698 shares. After the Oct. 29 trade, 867,197. The footnotes add a standard legal disclaimer: Equinox and its president, Sean M. Fieler, say they are not claiming to own the shares beyond their financial stake in the fund, and the filing is not an admission of ownership under Section 13(d) of the Exchange Act.

That language is boilerplate. It appears on a lot of fund filings and changes nothing about the trades themselves.

The Other Side

A 10% owner adding shares looks like a vote of confidence. The filing supports a narrower reading. The first trade was 899 shares for $9,079.90, a rounding error next to a position that already stood at 834,698 shares after it settled.

The second trade is bigger, 32,499 shares for $339,614.55, but still a modest addition to a stake that already stood at 834,698 shares. The report gives no reason for the buys, no sense of what share of the fund's assets SAMG represents, and no hint of whether more purchases are coming. A buyer who already holds this much may simply be topping up on a given day, and the filing cannot distinguish that from anything grander.

What it can't tell you

  • Why Equinox bought. The filing states the trades and the prices and nothing else.
  • Whether this is the start of a pattern or a one-off. Two trades on two days do not establish either.
  • What the stock has done since Oct. 29. The only prices in the report are $10.10 and $10.45, on the trade dates.

What to watch

  • Any further Form 4 from Equinox Partners Investment Management LLC on SAMG, and whether the 867,197-share count moves up or down from here.
  • Whether the holder's other reports on the same stock also show code P, which would mark a pattern, or sales, which would not.
