The Spill
Samsara (IOT) chief executive officer Sanjit Biswas, who is also a director and 10% owner, reported 15 sales of Class A stock on Oct. 27, 28 and 29, 2026, totaling about $11.3 million, all made through three family trusts. The insider filing (Form 4) hit the SEC at 6:47 p.m. ET on Oct. 29, and every row is marked as part of a pre-set trading plan (10b5-1) adopted Sept. 29, 2025.
Lag Clock
Signal Check
A 10b5-1 plan is a written schedule for trades set up in advance; the filing says these plans were adopted Sept. 29, 2025, so the when and how much were locked in more than a year before the shares moved, which makes this routine for a planned sale and says nothing about what Biswas thinks of the stock this week.
What the filing shows
All 15 rows are open-market sales (code S). None are held directly; each row cites one of three trusts over which Biswas has voting or investment power. Prices are weighted averages across multiple trades; the footnotes give the ranges.
After the last sale, the filing shows the Biswas Family Trust holding 461,835 shares, Biswas Trust I holding 30,400 and Biswas Trust II holding 135,200. The lowest price in any footnote range is $40.65 (Oct. 29); the highest is $45.00 (Oct. 27). Fifteen rows, 19 footnotes, and most of them say the same thing: the price is a weighted average.
The Other Side
A CEO selling $11.3 million of stock in three days looks like a vote of no confidence. The footnotes cut against that read. Every row cites a 10b5-1 plan adopted Sept. 29, 2025, about 13 months before the trades, so the dates and share counts were set long before anyone knew where the stock would be this week.
The shares also came out of three trusts rather than a personal account, and those trusts still held shares after the final sale. None of that proves anything about what Biswas expects next; it just means the filing itself does not point to a decision made in October.
What it can't tell you
- How many more sales the plan calls for, or when it ends. The filing names the plan's adoption date and nothing else about its terms.
- Biswas's total stake. The rows show only what the three trusts held afterward, not any shares held directly. A footnote describes restricted stock units (RSUs), but none of the 15 sale rows involve them.
- Why the plan was set up or where the money goes. Form 4s do not ask, and this one does not say.
What to watch
- Further Form 4s from Biswas citing the Sept. 29, 2025 plan, and whether the trust share counts of 461,835, 30,400 and 135,200 keep stepping down.
- Any new filing reporting a change to or termination of that plan.
