The Spill
Sven-Olof Lindblad, a director and 10% owner of Lindblad Expeditions Holdings (LIND), sold shares in six batches from Oct. 27 to Oct. 29, 2026, worth about $8,254,292 at the reported weighted-average prices. The insider filing (Form 4) hit the SEC at 6:11 p.m. Eastern on Oct. 29, the same day as the last sale, and every row carries a footnote saying a pre-set trading plan (10b5-1) made the trades.
Lag Clock
Signal Check
A 10b5-1 plan is a schedule an insider sets in advance, then can't steer day to day. The footnote says this one was adopted on June 17, 2026, and the label tells you nothing about why.
What the filing shows
All six rows are open-market sales (code S) of common stock, held directly. Each reported price is a weighted average; the footnotes give the actual range for each batch.
The filing says the reporting person will provide the share count sold at each price within those ranges to the issuer, any shareholder or SEC staff on request.
The Other Side
A director and 10% owner selling $8.3 million in three days looks like a headline. The footnotes undercut that reading in two ways. First, every sale ran automatically under a plan adopted June 17, 2026.
Second, the filing shows 9,937,202 shares still held directly after the last sale, so the stake is down from 10,083,674 after the first batch to just under 10 million. Three straight days of selling at weighted prices between $35.16 and $37.19 is what a scheduled plan looks like on paper; it is not evidence of a view on the stock.
What it can't tell you
- Why the plan was set up, or what rules it uses for timing and size. The filing only says it was adopted June 17, 2026.
- Whether more sales are scheduled. The filing covers only these six batches.
- How many shares went at each price inside the ranges. The reported prices are weighted averages, and the breakdown is available only on request.
- Any indirect or family holdings. All six rows are marked direct.
What to watch
- Further Form 4s from Sven-Olof Lindblad citing the same June 17, 2026 plan, which would show whether this schedule continues.
- Whether the direct holding keeps stepping down from the 9,937,202 shares reported here.
