The Spill

CrowdStrike (CRWD) president and CEO George Kurtz sold Class A shares on Oct. 27 and 28, 2026, for $5,336,111 in 17 blocks at average prices between $260.34 and $271.75. The insider filing (Form 4) reached the SEC on Oct. 29, one day after the last sale, and a footnote says the shares went out under a pre-set trading plan (10b5-1) adopted Jan. 16, 2026.

Planned sale (10b5-1)

A 10b5-1 plan is a trading schedule an insider sets in advance, so this label means the timing was decided back in January, not this week, and it says nothing about what Kurtz thinks of the stock now.

What the filing shows

Here are 15 of the 17 rows. Every row is an open-market sale (code S) of Class A common stock held directly. Prices are the weighted averages reported in the filing; footnotes say most blocks were filled in several trades at prices from $262.21 to $271.99.

2 more rows in the filing (17 transactions in total).

Two footnotes sit on every row. One says the sales include shares sold under the Jan. 16, 2026 plan. The other says they include shares tied to the vesting of restricted stock units (RSUs), company stock that turns into shares on a schedule.

The Other Side

A CEO selling $5.3 million of his own company's stock looks like a vote of no confidence. The footnote cuts against that: the plan was adopted Jan. 16, 2026, more than nine months before the first trade.

After the last block, Kurtz still held 7,361,504 shares directly. The filing says nothing about why the plan was set up, and nothing in it links the sales to any news.

What it can't tell you

  • How big the plan is or when it ends. The filing gives the adoption date and nothing else about its terms.
  • Whether every share was a plan sale. The footnote says each row "includes" plan shares and "includes" RSU shares; it gives no split.
  • Exact trade-by-trade prices. The filing reports weighted averages and offers the detail on request.

What to watch

  • The next Form 4 from Kurtz on EDGAR. If it carries the same Jan. 16, 2026 plan footnote and similar block sizes, that is the schedule running.
  • Whether any later filing names an end date or total share count for the plan. This one does not.
