Signal Check: Discretionary sale · $12,492,628.79 · Traded Oct. 30 → Filed Nov. 2 → 1 business day
Vested shares, all sold. Lauro Filippo, a vice president at Scorpio Tankers (STNG), sold 135,100 shares on Oct. 30 in three open-market trades at $92.22 to $92.62 a share. That's $12,492,628.79, a 22.4% trim of a 603,850-share stake.
The insider filing (Form 4) reached the SEC on Nov. 2 at 8:02 a.m. ET, one business day after the trade and inside the two-business-day deadline. No pre-set trading plan (10b5-1) is marked, so the desk calls it a discretionary sale.
A footnote says every share sold had been awarded under the company's 2013 equity plan and had vested. The 468,750 shares left are all unvested. The form does not say why he sold.

The Other Side
He sold what he could. A footnote says all 135,100 shares Filippo sold had vested under the 2013 plan, and the 468,750 left are unvested, so the sale covered every sellable share and nothing else. The form reached the SEC one business day after the trade, inside the deadline.
A vice president cashing vested awards at $92.22 to $92.62 is a line on a form, and the form gives no reason. It gives no forecast either.
Term of the Day
Notification date. On a trade report (PTR), it's the date the lawmaker says they were told about the trade, which can differ from the trade date when a third party manages the account. McGuire's report lists Oct. 2 as the notification date for four trades made Sept. 24 to Oct. 1.
