The Spill
Lauro Filippo, a vice president at Scorpio Tankers, sold on Oct. 30 and filed the insider report (Form 4) on Nov. 2, one business day later and inside the two-business-day deadline. The footnotes say every share sold was a vested award under the company's 2013 Equity Incentive Plan, and every one of the 468,750 shares still held is unvested.
Lag Clock
That is one business day after the trade, inside the two-business-day deadline (Rule 16a-3).
Signal Check
The pre-set trading plan (10b5-1) box is not checked and no plan is footnoted, so the report shows open-market sales with no disclosed schedule, which says nothing about motive.

Three open-market sales on Oct. 30, 2026 moved 135,100 common shares for $12,492,628.79, at prices from $92.2229 to $92.6208. Two lots were a round 50,000 shares; the third was 35,100.
After the filing Filippo holds 468,750 common shares, all directly. The report lists no trusts, no spouse lines, no options and no RSUs. A footnote on that holding says all 468,750 were issued under the 2013 Equity Incentive Plan and are unvested.
| Shares | Price | Value |
|---|---|---|
| 35,100 | $92.2229 | $3,237,023.79 |
| 50,000 | $92.6208 | $4,631,040.00 |
| 50,000 | $92.4913 | $4,624,565.00 |
The Other Side
A $12.5 million sale by a vice president reads like a big exit. The share count says otherwise: 135,100 out of 603,850 is 22.4%, and the other 77.6% stayed put.
The footnotes also draw a clean line between what went and what stayed. Everything sold had vested; everything kept hasn't.
That line doesn't settle much on its own. The form doesn't say whether the vested shares were the only ones Filippo could have sold, how long they had been vested, or whether the three lots were sized in advance. It shows three prices within 40 cents of each other on one day, and that's the extent of it.
What it can't tell you
- Why Filippo sold. A Form 4 has no field for a reason, and this one carries no plan footnote to stand in for one.
- When the remaining shares vest. The footnote marks all 468,750 as unvested but gives no dates or conditions.
- Where STNG has traded since. The report carries sale prices only; the desk has no closes for Oct. 30 or later in this story.
What to watch
The next Form 4 from Filippo. Any later filing that checks the 10b5-1 box would also change the label.
