What the filing shows

Seven lots, 228,057 shares, $17,573,121.28, at $74.07 to $78.51 a share. The common stake was 1,899,703 shares before the first lot and 2,127,760 after the last, a 12% top-up on what was held before the buy.

Every share is reported as indirect. The footnotes say the stock includes shares owned directly by Fivespan Partners Fund, Ltd, that Fivespan Partners, LP manages that fund, and that Haggart runs both the firm and its general partner, Fivespan Partners GP, LLC. The form is filed jointly by Haggart, Fivespan and Fivespan GP, and each disclaims ownership except to the extent of a pecuniary interest. The footnotes spend more words disclaiming the shares than describing them.

There are no option or RSU rows. All seven transactions:

The Other Side

A board member putting $17.6 million into his own company's stock in three days looks like the kind of insider buy the headlines are built on. The filing frames it as a fund trade.

Fivespan already held 1,899,703 shares before Oct. 30, and the week's buying added 12% to that. The lots were round, 50,000 and 75,000 shares among them, which is consistent with a manager working an order and proof of nothing.

The form also doesn't separate Haggart's money from his investors'. The footnotes say Fivespan and Fivespan GP may be a director by deputization, meaning the firm sits on the board through him, and they stop at "pecuniary interest" when it comes to who owns what.

What it can't tell you

  • Why Fivespan bought. The form does not say why. A Form 4 reports the trade, the price and the holding, nothing about the reasoning.
  • How big a slice of Fivespan this is. The filing gives the Stride position, not the fund's size, so there's no way to say whether 2,127,760 shares is a large or small part of what Fivespan runs.
  • Whether the buying is finished. The report covers Oct. 30 through Nov. 3 and nothing after.

What to watch

Any further Form 4 from Haggart or Fivespan, due within two business days of the next trade; the 8:34 p.m. ET same-day filing sets the pace to compare against. The next filing's position line will show whether 2,127,760 shares is where the fund settled.
