The Spill

George Kurtz, CrowdStrike's president, CEO and a director, sold at weighted average prices from $240.93 to $252.60, and the insider filing (Form 4) reports 7,296,109 Class A shares still held directly, as reported, including unvested RSUs. A pre-set trading plan (10b5-1) adopted Jan. 16, 2026, is named in the footnotes, and the report reached the SEC one business day after the last lot.

Planned sale (10b5-1)

The 10b5-1 box on the form is checked, and footnote F13 names a plan adopted Jan. 16, 2026; that footnote sits on 17 of the 29 rows, so the plan's terms were set months before the Nov. 2 and 3 trade dates.

What the filing shows

Twenty-nine rows, all code S (open market or private sale): 45,395 shares for $11,243,015.96 at weighted average prices from $240.93 to $252.60. Each row's price is an average of several fills, and the footnotes give the underlying range for 27 of them, starting at $240.22 for the cheapest lot; the two rows at $252.60 carry no range note.

After the filing, Kurtz holds 7,296,109 Class A shares directly, as reported, including unvested RSUs, down from 7,341,504 before the first lot: a 0.6% trim of the stake he held before the sale. The form lists no indirect holdings, no trusts and no separate option or RSU lines.

The table shows 15 of the 29 rows, including the lowest and highest average price.

The Other Side

An $11.2 million sale by the CEO reads like a big exit. Kurtz held 7,341,504 shares before the first lot and 7,296,109 after the last one; the 45,395 shares sold are 0.6% of what he started with, and the plan the footnote names was adopted Jan. 16, 2026, more than nine months before the first trade date.

The plan footnote doesn't cover every row. It sits on 17 of the 29, all five Nov. 3 lots among them, and the 12 Nov. 2 rows without it include the 13,763-share lot at $252.60; the checked box applies to the form as a whole, and the filing doesn't say which rows sat outside the plan or what governed them.

What it can't tell you

  • Why Kurtz sold. The form does not say why. A Jan. 16 adoption date says when the plan's terms were set, not what drove them or how each trade date was picked.
  • What is inside the 7,296,109. Footnote F2 says the figure includes shares still to be issued when RSUs vest, and the filing gives no split between issued shares and that unvested piece.
  • What the 12 unmarked rows were. The filing reports them as code S sales at weighted average prices and nothing more.

What to watch

The next Form 4 from Kurtz: whether it carries the same Jan. 16, 2026 plan footnote, and how the Class A count moves from 7,296,109. A later form would also show whether the RSUs footnote F2 mentions have turned into issued shares.
