DATA ONLY · PLANNED SALES

Two VTEX filings each report a sale of 4,808 Class A common shares on October 26. Both identify a trading plan adopted on November 10, 2025.

The useful detail sits in the footnotes. Form 4 reports filed on October 27 identify Geraldo do Carmo Thomaz Junior and Mariano Gomide de Faria as Chief Executive Officers. Each reports the same share count and a weighted-average sale price of US$4.03 — roughly $19,400 per reported sale.

What the filings actually show

Thomaz Junior: 4,808 shares sold from direct ownership. The transaction row lists 1,126,817 shares remaining; a separate holding row lists another 120,089 shares held indirectly.

Gomide de Faria: 4,808 shares sold through Mira Limited. That transaction row lists 899,505 shares remaining in that indirect holding. Separate rows list 623,779 directly held shares and 14,100 held through Class M.

Each filing describes multiple sale executions between US$4.00 and US$4.05. The $4.03 figure is a weighted average, not a single execution price. The two filings are presented separately here; matching figures do not establish a coordinated market call.

Why the trading-plan detail matters

Both footnotes attribute the sales to Rule 10b5-1 plans adopted nearly a year earlier. That is essential context when interpreting the timing. The documents do not establish a new discretionary decision made on the sale date.

The counterpoint

A pre-set plan does not make a sale bullish, and these filings do not explain the executives’ full financial circumstances or predict VTEX’s next move. The retained shares also matter: the reported transactions do not show a complete exit from these disclosed holdings.

What to watch next

Check later filings for changes in share counts and plan disclosures. Keep transaction dates separate from filing dates, and read any amendments before comparing activity over time.
