Signal Check
The pre-set trading plan (10b5-1) box is not checked and no plan is cited in the footnotes, so this is an open-market sale with no disclosed plan, and the label says nothing about motive.
What the filing shows
One row: 124,319 shares sold on the open market for $3,079,381.63, all at $24.77, so there is no price range to report. Robinhood Markets reports 12,921,815 shares after the sale, listed as held directly, and no options or RSUs.
Three footnotes sit on the holding, not the trade. One says the share count reflects a stock split, effective immediately before the fund's initial public offering, that turned each share outstanding as of March 5, 2026 into 1.0239 shares. The others say the shares are held by Robinhood Markets, Inc. and Robinhood Employee Fund, LP, whose general partner is wholly owned by Robinhood Markets, and that both disclaim beneficial ownership except to the extent of their pecuniary interest.
The Other Side
A 10% owner selling shares of the fund sounds like a large trade. Robinhood Markets held 13,046,134 shares before Oct. 28 and 12,921,815 after, so the sale trimmed the stake by 1%. It was one lot, at one price, on one day.
That is also the limit of what the filing can establish. It doesn't say whether this is the first of several sales or the only one, and a single row at a single price is consistent with either.
What it can't tell you
- Why Robinhood Markets sold. The form does not say why, and nothing in the footnotes addresses it.
- How the shares split between two entities. The footnote names Robinhood Markets, Inc. and Robinhood Employee Fund, LP as holders of the 12,921,815 shares but gives no breakdown between them.
- Whether more sales are coming. A Form 4 covers past trades only. This one covers a single day.
What to watch
Any further Form 4 from Robinhood Markets on RVI. As a 10% owner, it must report each sale within two business days of the trade, so a second row would show up fast.
