The Spill
Nippon Life Insurance Co., listed on the form as a 10% owner of Corebridge Financial (CRBG), bought 245,898 shares on the open market on Oct. 28 for $8,671,494.61, at prices from $35.03 to $35.61. The insider filing (Form 4) reached the SEC on Oct. 30, two business days later, and a footnote says the buy came through a pre-set trading plan (10b5-1) adopted on Aug. 7.
Lag Clock
That is two business days after the trade, inside the two-business-day deadline for a Form 4 (Rule 16a-3).
Signal Check
The form's 10b5-1 box is checked, and footnote 1 says the purchase was made under a plan Nippon Life adopted on Aug. 7, 2026, so the terms that produced this open-market purchase (code P) were set in August; the filing does not say what those terms were.
What the filing shows
One row: 245,898 shares of common stock bought on Oct. 28 for $8,671,494.61, at a weighted average of $35.2646 and prices from $35.03 to $35.61. Footnote 3 says the shares came in multiple transactions and that a lot-by-lot breakdown is available on request.
After the trade, Nippon Life reports 131,869,568 shares held directly. Footnote 2 says that figure covers 131,836,297 shares held of record by Nippon Life and 33,271 shares held by Nissay Asset Management Corporation, a wholly owned subsidiary.
Before the buy the stake was 131,623,670 shares, so this is a 0.2% top-up. No options or RSUs are reported.
The Other Side
A holder with more than 10% of the company writing an $8.7 million check reads, at a glance, like a statement. The stake does the testing. Nippon Life already held 131,623,670 shares, and Oct. 28 added 245,898, or 0.2% of that pile.
The plan date matters too. The terms were set on Aug. 7, 82 days before the trade, so the Oct. 28 purchase doesn't tell you what Nippon Life thought of the stock that week. It also doesn't say whether this was the first buy under the plan or one of many, or how much the plan allows in total.
What it can't tell you
- Why Nippon Life bought. The form does not say why. Footnote 1 gives a plan date, not a reason.
- How many lots, and at what prices. Footnote 3 says multiple transactions between $35.03 and $35.61. The count per price is available on request, not in the filing.
- What the plan calls for next. The filing does not say whether more purchases are scheduled, how large they could be or when the plan ends.
What to watch
- The next Form 4 from Nippon Life on EDGAR, and whether it cites the same Aug. 7, 2026 plan. A second purchase under one plan would show the plan is still running; the size would show the pace.
- Whether the 33,271-share line held through Nissay Asset Management Corporation changes on later forms.
